Activist pressure pushes Eagan-based Solventum to divest billion-dollar business

Eagan-based Solventum, the healthcare technology company spun off from 3M last year, is moving forward with the sale of a major division after sustained pressure from an activist investor. The move is expected to reshape the company's portfolio and could generate more than a billion dollars in proceeds.

Trian Partners, the investment firm led by Nelson Peltz, had been publicly urging Solventum to streamline operations and focus on its core medical products. Trian took a stake in the company shortly after the spinoff and has been vocal about what it sees as unnecessary complexity and overlapping business lines.

The divestiture involves Solventum's purification and filtration segment, which serves industrial and life sciences customers. While the unit has steady revenue, it does not align with the company's main focus on surgical supplies, wound care, and dental products. Analysts say the sale could fetch between one and two billion dollars, depending on the buyer and final terms.

Solventum's management has not confirmed a specific buyer, but sources familiar with the process say several private equity firms have shown interest. The company is expected to use the cash to pay down debt and fund share buybacks, which Trian has also pushed for.

The decision marks a significant shift for the company, which had initially planned to keep all of its businesses intact after the 3M separation. But with shares underperforming since the spinoff, management has become more receptive to structural changes. The stock rose modestly on the news, as investors welcomed the clearer focus.

Solventum is also reviewing other parts of its portfolio, though no further sales have been announced. The company's next earnings call is expected to provide more details on the timeline for the transaction and how the proceeds will be allocated.
